General Terms and Conditions of Sale

Important: In the event of any discrepancy between the French and English versions, the French version shall prevail.

Article 1 — Purpose and scope

The purpose of these GTC is to define the terms of access to and use of the website https://fpfsxm.com, as well as the conditions of sale of the trainings, subscriptions, and services offered by the association Finance Pro Formation Saint-Martin (“FPF SXM”). Any subscription implies the Client's unreserved acceptance of these GTC, which the Client acknowledges having expressly accepted upon electronic signature of the participation document. FPF SXM reserves the right to amend the GTC at any time; the applicable version is the one in force on the date of the order.

Article 2 — Identification

Finance Pro Formation Saint-Martin (FPF SXM) — association under the French Law of 1901 — RNA W9G3005211 — SIREN 938596186 — Registered office: 118 Lotissement Communal, Quartier d'Orléans, 97150 Saint-Martin (French side) — info@fpfsxm.com.

Article 3 — Definitions

“Client”: a natural person of legal age and capacity, or a legal entity, having subscribed to a training or a service. “Training”: any educational module (live, on-demand, or digital). “Subscription”: a recurring service of indefinite duration, billed monthly (access to the Telegram group). “Site”: https://fpfsxm.com. “Trainer”: the person (employee, volunteer, or contractor) delivering all or part of a Training on behalf of FPF SXM.

Article 4 — Description of services

4.1 Premium Live: a complete training in trading Nasdaq-100 futures (Modules 1 to 4 of the FPF Methodology), delivered via interactive live Zoom video conference, 4 days/week for 2 months, in a group limited to 10 participants.

4.2 Premium Recorded: Modules 1 to 4 as pre-recorded videos, supplemented by group Zoom sessions. 4.3 “The FPF Trading Room” Subscription: access to the Telegram group (analyses, alerts, mutual support). 4.4 Additional Zoom sessions: per unit (1 hr) or as a 3-hr pack, and makeup sessions. Rates shown on the Site at the time of order.

4.5 Educational nature: all services are strictly educational in purpose. No information constitutes investment advice, a personalized recommendation, an incitement to speculate, or a promise of profit. FPF SXM is neither a financial investment advisor (CIF), an investment services provider (PSI), nor a portfolio management company, and is not subject to any authorization from the AMF or the ACPR (French financial regulators).

Article 5 — Risk warning

The Client acknowledges: that he/she will make trading decisions independently and at his/her sole responsibility; that he/she will not trade with sums he/she cannot afford to lose; that past performance (of the President, the Trainers, or other students) is in no way indicative of future performance; that the method favors the use of funded (Prop Firm) accounts precisely in order to limit risk to the Client's personal capital.

Article 6 — Order

6.1 Eligibility: be of legal age (18+) and legally capable, or act for an authorized legal entity; have a valid email address; provide accurate information. 6.2 Process: subscription is not made via an online purchase on the Site; the Client expresses interest (email/contact), receives a participation document to sign electronically, then a secure payment link. 6.3 FPF SXM reserves the right to refuse an order for legitimate reasons (manifestly erroneous information, suspicion of fraud, incompatibility with eligibility conditions).

Article 7 — Price and payment

7.1 Prices in euros, all taxes included. As FPF SXM is not subject to VAT, no VAT is applied. Applicable rates are those in force when the order is confirmed. 7.2 Payment due before the start of the Training (unless instalments are agreed): Stripe link (card), bank transfer (Sogexia Luxembourg or Wise Belgium), cash, or card terminal by appointment at the registered office.

7.3 In the event of instalments, non-payment may result in suspension and then automatic termination, without refund of sums paid (retained for services actually performed); no sum is due for services not performed. 7.4 An invoice is issued for each order and sent by email; the Client must report any error within 15 days.

Article 8 — Right of withdrawal

8.1 In accordance with Articles L. 221-18 et seq. of the French Consumer Code, the consumer Client has a period of fourteen (14) days from the conclusion of the contract to withdraw, without reason, by an unambiguous statement (email).

8.2 Premium Recorded: the Client gives express consent to the immediate commencement of the service (provision of the videos) and expressly waives the right of withdrawal in the participation document. Failing this, the Client retains the 14-day right (art. 8.1). 8.3 Premium Live and live services: the right of withdrawal applies (art. 8.1), unless the first session takes place before the expiry of the period and the Client has requested that the service begin before its end.

Article 9 — Commercial guarantee

Where applicable, if the conditions are met, FPF SXM makes a full refund of the sums paid within fourteen (14) days of validation of the request. This commercial guarantee does not apply to the Telegram Subscription (see Article 10).

Article 10 — Telegram subscription

10.1 The “FPF Trading Room” Subscription is taken out for an indefinite duration, with no minimum commitment, billed monthly by automatic debit, and tacitly renewed each month on the anniversary date, unless cancelled. 10.2 The Client may cancel at any time, without notice, reason, or penalty, by email to info@fpfsxm.com. 10.3 FPF SXM may terminate after unsuccessful payment reminders.

Article 11 — Third-party trainers

FPF SXM may use external Trainers (contractors, partners), in particular for English-language Trainings or in the event of the main Trainer's unavailability. They act in compliance with the FPF Methodology and under the Association's supervision, which remains solely responsible for proper performance. The Client has no direct contractual relationship with these third-party Trainers and addresses any claim exclusively to FPF SXM.

Article 12 — Client's obligations and conduct

The Client undertakes to use the educational content exclusively for personal purposes, within the scope of his/her own training; not to reproduce, copy, distribute, share, resell, or exploit such content; to respect the confidentiality of exchanges within the Telegram group; and to behave respectfully. Any breach may result in exclusion without refund and legal proceedings.

Article 13 — Liability

FPF SXM is bound by an obligation of means, not of result. It is not liable for: the Client's trading decisions or the resulting gains/losses; misuse of the tools/methods; the Client's failure in Prop Firm evaluations; failures of third-party providers (Zoom, Telegram, Stripe, host, etc.); events of force majeure. FPF SXM's total liability may not exceed the total amount actually paid for the relevant service — except in cases of wilful misconduct, gross negligence, personal injury, or where the law prohibits such limitation.

Article 14 — Intellectual property

All content remains the exclusive property of FPF SXM. Any unauthorized reproduction, adaptation, distribution, or commercial exploitation constitutes infringement (Articles L. 335-2 et seq. of the French Intellectual Property Code). The Client is granted a personal, non-exclusive, non-assignable, and non-transferable license to use the content for his/her own needs, for the duration of the Training and within the limits of Article 12.

Article 15 — Personal data (GDPR)

Controller: the association FPF SXM (info@fpfsxm.com). Data collected: last name, first name, email, phone, address, order/communication data. Purposes: contract performance, invoicing, support, security, and marketing with consent. Retention: invoicing/accounting 10 years; prospecting 3 years after last contact; account data for the contractual relationship then legal archiving. Processors: Stripe, Zoom, Telegram, host, email providers. Rights (access, rectification, erasure, etc.) at info@fpfsxm.com.

Article 16 — Consumer mediation

The consumer Client has the right to use a consumer mediator free of charge, after first attempting to resolve the dispute directly by written complaint. Article 17 — Governing law and jurisdiction

The GTC are governed by French law. 17.1 Dispute with a professional Client: exclusive jurisdiction of the Tribunal Judiciaire of Basse-Terre (Guadeloupe). 17.2 Dispute with a consumer Client: the consumer may bring the matter, at his/her choice, before one of the courts territorially competent under the Code of Civil Procedure, or the court of the place where he/she resided at the conclusion of the contract or at the occurrence of the harmful event.

Article 18 — Session recording and image rights

Zoom sessions may be recorded by FPF SXM (image, voice, questions, screen sharing) for educational, on-demand, and quality-control purposes. By participating, the Client is informed and accepts this. These recordings remain the exclusive property of FPF SXM and may not be used for promotional purposes featuring an identifiable Client without his/her express consent. The Client may request blurring or removal of his/her image/voice. The Client is prohibited from recording or distributing the sessions (Articles 12 and 14).

Article 19 — Miscellaneous

19.1 Entirety: the GTC express the entire agreement. 19.2 Partial nullity: the nullity of one provision does not affect the others. 19.3 Forbearance: not invoking a provision does not constitute a waiver. 19.4 Amendments: FPF SXM reserves the right to amend the GTC.
